01 Introduction

Welcome to Stellr, LLC (“Stellr,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website (stellr-company.com) and our suite of AI services, including Orrin, Yabble, Konekt, Inspi, and any related applications (collectively, the “Services”). By accessing our Services, you are entering into a binding legal agreement with Stellr.

02 Eligibility

The Services are strictly for users aged 13 and older. By using our Services, you represent and warrant that you meet this age requirement and have the full right, power, and authority to enter into these Terms. Corporate entities using the Services must be represented by an authorized agent.

03 User Accounts

Access to certain features requires an account. You are solely responsible for safeguarding your credentials. Stellr is not liable for any loss or damage arising from your failure to protect your account. You agree to provide current, accurate, and complete information during registration.

04 Use of Services

You agree to use the Services lawfully. Prohibited activities include, but are not limited to:

Using the Services to violate applicable laws or regulations.
Reverse engineering, decompiling, or attempting to derive source code.
Distributing malware, viruses, or harmful code.
Overloading infrastructure via DDoS or automated scraping.

05 Intellectual Property

The Stellr platform, inclusive of algorithms, models, designs, and code, is the exclusive property of Stellr, LLC. We grant you a limited, revocable, non-exclusive license to use the Services for personal or internal business purposes, strictly in accordance with these Terms.

06 User Content

You retain ownership rights to content you submit (“User Content”). However, by submitting content, you grant Stellr a worldwide, royalty-free license to host, store, use, and process such content solely for the purpose of providing, improving, and securing the Services.

07 Orrin Social Dynamics & Conduct

The Orrin service includes social functionalities that allow authorized Users to establish connections (via "Friend Requests") and engage in direct communication ("Chat"). By utilizing these social features, you acknowledge that you are entering a shared digital environment and agree to strictly adhere to the following conduct guidelines.

Compliance with Law

Users are strictly prohibited from using Orrin to transmit illegal content. You must adhere to all local, state, national, and international laws applicable to your jurisdiction. This includes, but is not limited to, laws regarding defamation, privacy, export control, and the prohibition of child sexual abuse material (CSAM).

Prohibited Behavior

We maintain a zero-tolerance policy for harassment. You may not use the Service to bully, stalk, intimidate, or discriminate against other Users. The distribution of unsolicited promotional content (spam), malware, or content encouraging violence is expressly forbidden.

Liability & Moderation: Stellr, LLC acts as a passive conduit for User communications and is not responsible for the content of messages sent between Users. However, we reserve the right to investigate reports of abuse and to suspend or terminate, without notice, any account found to be in violation of these standards or applicable law.

08 Payments & Subscriptions

Paid Services are billed in advance. All fees are non-refundable unless expressly stated otherwise. You authorize us to charge your designated payment method for all applicable fees. Stellr reserves the right to modify pricing structures with reasonable notice.

09 Custom Plans & Resource Allocation

User Autonomy: Users subscribed to Custom Plans (“Orrin Custom Subscription”) retain full discretion over the allocation and configuration of platform resources. This includes cloud memory provisioning, AI credit scaling, usage thresholds for premium features—such as Anew, Proofer, and Lumen—and custom video upload limits for features requiring enhanced media processing.

Per-Unit Pricing: In exchange for this flexibility, Stellr, LLC reserves the right to price these resources on a granular, per-unit basis (e.g., per gigabyte-month of cloud memory, per AI credit, per video-processing unit). The total cost is dynamic and reflects the User’s selected resource levels, enabled features, and actual usage.

Price Volatility & Notifications

Due to fluctuating infrastructure and energy costs, per-unit resource prices may increase over time. Stellr, LLC may adjust these rates at its discretion. We will make reasonable efforts to notify affected Users via email or the Service dashboard prior to the billing cycle in which updated pricing takes effect.

Users subscribed to Custom Plans will have 30 days from the time of notice to update their subscription to reflect the new pricing. Failure to update within this period may result in cancellation at the discretion of Stellr, LLC.

10 Unlimited Plans

Stellr offers “Unlimited” subscription tiers designed to provide Users with expanded access to select platform features without traditional usage ceilings. These tiers grant enhanced allowances, including elevated AI credit pools, increased cloud memory capacity, and accelerated task processing.

While Unlimited Plans remove standard usage limits, certain Fair Use and Resource Integrity safeguards may apply to maintain system stability. Stellr, LLC may implement soft-usage thresholds, temporary rate limits, or require plan adjustments if usage patterns pose a risk to platform performance.

11 Payments & Stripe Processing

All transactions conducted through web-based applications—including payments for Custom Plans and Unlimited Plans—are processed securely through Stripe. By initiating a web-based transaction, you authorize Stripe to manage and process your payment information. Stellr, LLC does not store or directly handle your full payment credentials.

Users are encouraged to review Stripe’s Privacy Policy and Terms of Service before completing a web-based purchase. For in-app purchases made on iOS or macOS devices, payment processing is handled through Apple Pay (see Section 11).

12 Apple Pay & In-App Purchases

All transactions completed within iOS or macOS applications are processed exclusively through Apple Pay and Apple’s in-app purchase ecosystem. These payments are not processed through Stripe. Unlimited Plans and Custom Plans are not available through in-app purchase and must be purchased via the web.

By completing an in-app purchase, you agree to comply with Apple’s billing rules and refund procedures. Any disputes, refund requests, or billing inquiries for Apple Pay transactions must be directed to Apple Support. Stellr, LLC does not possess the authority to issue or reverse refunds for transactions processed through Apple Pay.

13 Termination & Inactivity

We may terminate or suspend access to the Services immediately, without prior notice, for conduct that violates these Terms or poses a risk to the Services. Upon termination, your right to access the Services shall immediately cease.

Inactivity Policy

Accounts that demonstrate prolonged inactivity may be subject to archival or permanent deletion. An account shall be considered “Active” if, within any rolling fifty (50) day period, at least one of the following conditions is satisfied:

01 Document creation activity (creation or modification of content).
02 Credit usage meeting minimum thresholds (e.g., >300 input credits).

Notice of Deletion

Except where immediate deletion is required for security, we will provide at least seven (7) days’ notice prior to permanent deletion of an inactive account. Zero-activity accounts (no history of usage) may be deleted without notice.

14 Abuse of Submission Forms

Submission Forms are provided for legitimate communications. Any misuse, abuse, or exploitation is strictly prohibited. Submissions determined to be deceptive, fraudulent, unsolicited, or malicious may be rejected or blocked.

In response to repeated abuse, the Company reserves the right to implement technical safeguards, including rate-limiting or IP-based access restrictions, without prior notice.

15 Limitation of Liability

To the maximum extent permitted by law, Stellr shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data. Our aggregate liability shall not exceed the amount paid by you to Stellr in the 12 months preceding the claim.

16 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

17 Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.
